Binance Buys $100 Million Stake in Circle – Here Is What Comes Next

  • Binance purchased 1,237,011 shares of Circle for approximately $100 million as the companies expanded their commercial relationship around USDC.
  • The shares were purchased at $80.84 each and generally cannot be sold, transferred or hedged by Binance for two years.
  • Circle and Binance also signed a new five-year agreement that will pay Binance monthly incentive fees based on USDC held through Circle’s Modular Smart Contract Wallet infrastructure.

Binance has purchased a $100 million equity stake in Circle as the two companies deepen their commercial relationship around the USDC stablecoin.

According to an 8-K filing with the Securities and Exchange Commission, Binance acquired 1,237,011 shares of Circle’s Class A common stock at $80.84 per share through a private placement.

The transaction closed immediately after the companies signed the subscription agreement and expanded their existing commercial arrangements.

The investment gives Binance direct equity exposure to Circle while the companies increase their cooperation around USDC infrastructure.

Binance and Circle Sign Five-Year USDC Deal

Alongside the equity investment, Binance and Circle entered into a new five-year commercial agreement.

The arrangement expands promotion of USDC held through Circle’s Modular Smart Contract Wallet infrastructure.

Under the agreement, Circle will pay Binance a monthly incentive fee calculated as a percentage of the USDC held through the wallet service.

The new agreement replaces previous arrangements between Binance and Circle signed in 2024 and 2025.

Both companies retain unilateral termination rights before the five-year term expires under certain specified conditions.

Binance Shares Face Two-Year Restrictions

Binance’s newly acquired Circle shares are subject to restrictions designed to limit how the exchange can handle the investment.

For two years, Binance generally cannot sell, transfer or hedge the shares.

Certain exceptions apply, including circumstances where Binance terminates the commercial arrangement under specified conditions.

Despite those restrictions, Binance retains voting rights associated with its Circle stake during the period.

The combination of the equity investment and five-year commercial agreement further connects one of the world’s largest crypto exchanges with the issuer of USDC.

Circle Expands USDC Infrastructure With Arc

The Binance agreement comes as Circle continues expanding its infrastructure beyond USDC itself.

Last week, Circle launched the public mainnet of Arc, its Layer 1 blockchain where USDC is used to pay transaction fees.

Circle said more than 100 applications were available when Arc launched.

Its founding validator group includes BlackRock, DTCC, ICE, Mastercard and Visa.

The new Binance investment adds another major crypto industry participant to Circle’s broader push to expand the infrastructure and adoption surrounding USDC.
