Vietnam Targets Unlicensed Crypto Trading – Here Is Why Retail Investors Face New Penalties

Vietnam is tightening its cryptocurrency regulations by shifting enforcement beyond exchanges and directly onto individual traders.

Under Decree 284/2026, which takes effect on September 1, domestic investors who use crypto platforms that are not licensed by the Ministry of Finance could be fined up to VND 50 million, or roughly $1,900. Those trading assets reserved for foreign investors may face penalties as high as VND 100 million.

The move represents one of Vietnam’s most significant regulatory changes yet, targeting retail users instead of focusing solely on cryptocurrency platforms.

Licensed Exchanges Become the Only Safe Option

For years, millions of Vietnamese investors have traded cryptocurrencies through major international exchanges, including Binance and Bybit, despite operating in a legal gray area.

The new decree changes that dynamic by creating direct financial consequences for users who continue trading on unlicensed platforms.

Rather than banning cryptocurrency outright, Vietnam is encouraging investors to migrate toward a regulated ecosystem built around government-approved exchanges.

Strict Licensing Rules Limit Competition

Vietnam’s licensing framework is intentionally selective.

Officials plan to approve no more than five cryptocurrency exchanges during the initial rollout. Companies seeking approval must hold at least VND 10 trillion (approximately $382 million) in charter capital, while foreign ownership in licensed crypto businesses will be capped at 49%.

In addition, all crypto trading and settlement within the licensed system must be conducted in Vietnamese dong, reinforcing the country’s oversight of digital asset markets.

Compliance Pressure Increases for Exchanges

The regulations also place heavier compliance obligations on crypto service providers.

Platforms that fail to properly verify customer identities through Know Your Customer (KYC) procedures could face fines of up to VND 70 million. The stricter rules are expected to increase the importance of identity verification, geofencing, and regulatory compliance for companies serving Vietnamese users.

For offshore exchanges, continuing to serve customers in Vietnam without local authorization may become increasingly difficult.

A New Phase of Crypto Regulation

Vietnam has consistently ranked among the world’s leading countries for cryptocurrency adoption, driven largely by strong retail participation.

The new framework marks a shift from informal market growth toward a tightly regulated system where licensed domestic operators become the primary gateway for digital asset trading.

As the rules take effect in September, both investors and crypto companies will need to adapt to a regulatory environment that places greater emphasis on licensing, compliance, and government oversight.
