SEC Prepares Major US Crypto Rules – Here Is What Could Change for Tokens

The U.S. Securities and Exchange Commission could take an important step toward establishing clearer cryptocurrency regulations this week. The agency is scheduled to hold a public meeting on Friday where commissioners will consider whether to propose new rules covering certain investment contracts involving crypto assets.

While the SEC has not yet released the full details, investment bank TD Cowen believes the proposal could become one of the agency’s most consequential crypto rulemakings. The broader goal appears to be creating a specialized disclosure and compliance framework that gives crypto projects a clearer route through existing securities laws.

The timing is particularly important. Congress has struggled to advance comprehensive crypto market structure legislation, with the Senate failing to move the CLARITY Act forward before its August recess. That leaves the SEC in a potentially influential position as regulators search for another path toward providing legal certainty for digital asset companies.

SEC Could Create a New Path for Crypto Projects

Jaret Seiberg, managing director at TD Cowen’s Washington Research Group, described the upcoming proposal as potentially “pivotal.” Under the possible framework, crypto companies could receive a more practical way to raise capital without choosing between complying with the full traditional securities regime or taking on substantial litigation risk.

SEC Chair Paul Atkins previewed a similar approach earlier this year. The idea centers on situations where a token itself may not ultimately qualify as a security, even though it was initially distributed through an investment contract used to finance development.

Such a framework could allow projects to raise money during the early stages of network development and eventually move outside SEC oversight once their networks become sufficiently independent from the managerial efforts of their original sponsors.

Crypto Safe Harbor Could Be Part of the Proposal

One possibility highlighted by TD Cowen is the creation of a regulatory safe harbor for early-stage token projects.

Under such an arrangement, developers could potentially sell tokens while building their networks without immediately having those tokens classified as securities. As the network matures, regulators could apply specific criteria to determine whether the token has transitioned into a commodity or another asset that no longer falls under SEC securities oversight.

This would address one of the crypto industry’s longest-running regulatory questions: when does a token initially connected to an investment contract stop being treated as part of a securities transaction?

Whitepapers Could Become a Regulatory Requirement

The SEC could still impose substantial disclosure requirements on projects seeking to use any new exemption.

TD Cowen suggested issuers may be required to submit detailed whitepapers explaining their token, development roadmap, token economics, governance structure, developer compensation, custody arrangements and major risks.

That approach could give investors greater transparency while providing developers with clearer rules before launching tokens or raising capital. Instead of relying heavily on enforcement actions to determine where regulatory boundaries sit, projects would have a defined compliance framework from the beginning.

Friday’s SEC Vote Would Only Be the Beginning

Any vote at Friday’s meeting would not immediately establish new crypto regulations. Commissioners would instead be deciding whether to authorize publication of the proposed rules, opening the door to additional regulatory review and public feedback.

If commissioners approve the proposal, the SEC is expected to release the complete rulemaking documents and supporting information shortly afterward.

The development could still become a major turning point for U.S. crypto regulation. With the CLARITY Act facing delays in Congress, an SEC framework offering crypto projects a clearer route from fundraising to decentralized network operation could significantly reshape how tokens are launched and regulated in the United States.
